End-User Licence Agreement

In short: the in-game Items you buy are licensed, not sold; the licence comes from the game-server creator who made the Item, and KantoPay is the seller and merchant of record who resells it to you and looks after delivery, support and refunds.

This End-User Licence Agreement (this "EULA") governs your use of a digital in-game Item ("Item") you obtain through a KantoPay storefront. Three things are true at once, and it helps to read them together. First, KantoPay is the seller and merchant of record of your purchase — see our Terms of Sale. Second, the Item is licensed, not sold. Third, the licence to the Item's intellectual property is granted directly to you by the game-server creator who produced it (the "Creator" or "Licensor"); KantoPay buys that Item, with its use licence, from the Creator and resells it to you, but KantoPay is not the licensor of the Item's intellectual property and is not a party to this licence. This licence is a bare intellectual-property licence that accompanies KantoPay's resale of the Item; it creates no separate contract between you and the Creator, and your sale contract for the Item is with KantoPay (see our Creator Agreement). This EULA is additional to, and does not replace, our Terms of Service, Terms of Sale, Refund & Cancellation Policy, Privacy Policy and Acceptable Use Policy; if any of those documents conflicts with this EULA on a commercial matter (price, tax, refunds or payouts), that document controls. This Standard EULA applies to each Item unless a separate Creator EULA is presented for that Item, in which case the Creator EULA governs that Item instead — but in no case does a Creator EULA reduce your non-waivable rights under Philippine law or KantoPay's obligations as merchant of record under the Terms of Sale and Refund & Cancellation Policy; if it conflicts with those, they prevail. Nothing in this EULA excludes or limits any right you have as a consumer under Philippine law, including the Consumer Act (RA 7394) and the Internet Transactions Act (RA 11967).

1. Scope of the licence

The Creator grants you a personal, non-exclusive, non-transferable, revocable licence to use the Item solely on the Creator's game or server shown at checkout, for your own personal, non-commercial gameplay. The Item is delivered to the in-game account or identifier you provide at checkout (see the Terms of Sale), and any upgrade, fix or replacement of the Item is covered by this same licence.

Except to the extent the following restrictions are prohibited by applicable law (including the Intellectual Property Code, RA 8293) or are permitted by any open-source or third-party licence that applies to the Item, you may not: rent, lease, lend, sell, transfer, redistribute or sublicence the Item; or copy, decompile, reverse-engineer, disassemble, modify, or create derivative works of the Item. The licence does not transfer any ownership of the Item's intellectual property, which remains with the Creator or its own licensors.

2. Consent to use of data

To deliver the Item and support your purchase, KantoPay and the Creator may process limited technical and order data — such as your in-game identifier, the Item purchased, basic device and usage data, and your IP address — only as necessary to deliver the Item, provide support, and prevent fraud, on the lawful bases set out in the Data Privacy Act (RA 10173). KantoPay is the Personal Information Controller; the Creator may use this data only on KantoPay's instructions to fulfil and support your order, and must not use it for marketing. We do not grant any open-ended right to share your data with the Creator's own licensors. How we handle your personal data, your rights as a data subject, our Data Protection Officer, the National Privacy Commission, and any cross-border transfer are set out in our Privacy Policy, which governs.

3. Termination

This licence is effective until terminated. It runs until you stop using the Item, the Item expires, or the Item or the Creator's server becomes unavailable at the Creator's discretion. Your rights under this licence terminate automatically if you materially breach it, to the extent that automatic termination is permitted by Philippine law. On termination you must cease all use of the Item and destroy or uninstall any copies within your control. Termination of the licence is the Creator's act as Licensor.

Termination or loss of access does not affect any refund right you may have for an Item that was not delivered, was defective, or was not as described — that obligation remains KantoPay's as merchant of record, and is set out in our Refund & Cancellation Policy. Consistent with that Policy, loss of an Item due to a server reset, a player ban, any action the server operator takes against your account, or the third-party server shutting down or changing its gameplay, is not in itself refundable: we guarantee delivery of the Item, not the permanent lifespan of the third-party servers you play on.

4. Use of third-party platforms

The Item runs on, or is derived from, third-party platforms — the game and its publisher (for example Mojang/Microsoft and others). You must comply with those platforms' terms, end-user licence agreements, IP rules and acceptable-use requirements; the prohibited-conduct list is set out in our Acceptable Use Policy. The Creator and the publisher control the third-party platform, and the Creator makes no warranty about it. The Creator (or the publisher) may change, suspend or remove the Item on a third-party platform, and neither the Creator nor KantoPay is liable to you for a change or removal that is caused by the publisher or the third-party platform rather than by KantoPay's failure to deliver or a defect in the Item.

KantoPay and the Creator are not affiliated with, endorsed by, or sponsored by the game publishers. Nothing in this section limits your non-waivable rights as a consumer under Philippine law, or KantoPay's obligations as merchant of record under our Refund & Cancellation Policy.

5. Refunds and returns

Refunds and returns are governed by our Refund & Cancellation Policy and Terms of Sale, not by this EULA. In summary: because KantoPay buys and resells these Items, KantoPay is the seller to you and carries the consumer-refund obligation as merchant of record. Report a problem within 7 days of purchase for fast resolution, and we will re-deliver, replace, credit or refund where an Item was not delivered, you were charged more than once or the wrong amount, or the Item does not work or is not as described. These mandatory triggers are honoured regardless of anything else in this EULA. Philippine law gives no cooling-off period for a correctly-delivered, as-described digital Item, but nothing here limits your statutory rights under the Consumer Act (RA 7394) and the Internet Transactions Act (RA 11967). The Creator's role is limited to incidental support when we direct you to them; you claim against KantoPay first. If you are under 18, you may buy and use Items only with the involvement and consent of a parent or guardian; unauthorised-minor and unauthorised-cardholder situations are handled under our Terms of Sale. The Refund & Cancellation Policy sets out the full terms and controls.

6. Warranties

Nothing in this EULA excludes or limits any warranty, condition or right that cannot be excluded or limited under Philippine law, including the implied warranties under the Consumer Act (RA 7394) and your repair, replacement and refund rights under the Internet Transactions Act (RA 11967). Those rights are non-waivable and they come first.

Subject to that, and to the maximum extent permitted by law, the Item is provided on an "as is" and "as available" basis, and the Creator, as Licensor, gives no other express or implied warranty about the Item — for example that it will be uninterrupted, error-free, or compatible with every configuration of the game or server. To the extent Philippine law gives you non-waivable warranty or quality rights, those rights apply in full and prevail over this paragraph. KantoPay's own platform "as is" position is set out in our Terms of Service and is not repeated here.

7. Limitation of liability

To the maximum extent permitted by law, and except for liabilities that cannot be limited under Philippine law, the total liability of KantoPay and the Creator for any claim relating to an Item is limited to the amount you paid for that Item. This cap does not apply to KantoPay's refund, replacement or re-delivery obligations as merchant of record under the Refund & Cancellation Policy, or to any remedy the Consumer Act (RA 7394) or Internet Transactions Act (RA 11967) requires. To the extent permitted by law, neither KantoPay nor the Creator is liable for indirect, incidental, special or consequential loss, or for loss arising from the game, the server operator, or events beyond our reasonable control.

Nothing in this EULA limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence, or for any right you have as a consumer under Philippine law. This allocation reflects the split in this EULA: the Creator carries the intellectual-property and use risk in the Item, and KantoPay carries the transaction risk as merchant of record, consistent with our Terms of Sale.

8. Sanctions and lawful use

You represent that you are not subject to sanctions administered by the United Nations, the Philippines (including the Anti-Terrorism Council and the AMLC), or other relevant authorities (and, where applicable, OFAC, the EU or the UK); that you are not located in a comprehensively sanctioned jurisdiction; and that you will not use the Item or your purchase to breach sanctions or for money laundering, terrorist financing, fraud or other unlawful activity. These are contractual risk and fraud controls: KantoPay operates as a reseller / merchant of record and is not a covered person under the Anti-Money Laundering Act (RA 9160, as amended), and nothing in this EULA makes it one or should be read as KantoPay performing a statutory anti-money-laundering duty.

9. Governing law and venue

This EULA is governed by the laws of the Republic of the Philippines. The parties submit to the exclusive jurisdiction of the proper courts of the city where KantoPay maintains its principal place of business, to the exclusion of all other venues. Nothing in this clause limits any right a Buyer who is a consumer has to bring an action in the venue allowed by Philippine consumer-protection law, or to seek redress through the Department of Trade and Industry. Electronic acceptance and records are valid under the Electronic Commerce Act (RA 8792).

10. Changes

We may update this EULA from time to time; material changes will be posted on this page with a new "last updated" date, and your continued use of an Item or our storefronts after a change means you accept the updated EULA. A change does not reduce your statutory consumer rights and does not apply retroactively to a purchase you have already made.

11. Severability and waiver

If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision is applied to the maximum extent permitted by law. A delay or failure to enforce a right under this EULA is not a waiver of it.
